DoorDash has agreed to purchase Instacart for $17 billion, a move that merges the two largest dedicated grocery delivery platforms in North America. The transaction will combine DoorDash’s extensive logistics network with Instacart’s specialized grocery operations, creating a single entity with greater market reach and operational scale.

DoorDash CEO Tony Xu stated the deal combines Instacart’s grocery expertise with DoorDash’s logistics capabilities. In a written statement, Xu noted that grocery delivery requires precise execution, such as selecting ripe produce and maintaining cold chain integrity. He said the partnership aims to provide stores of all sizes with better tools to manage these complex fulfillment requirements.

The acquisition resolves a competitive tension that has defined the last several years of the market. DoorDash entered the grocery sector in 2020, expanding beyond its original restaurant delivery model. By 2025, the company had secured full inventory access to all 2,700 U.S. Kroger locations and added Costco to its delivery roster last month. These moves directly challenged Instacart’s traditional dominance in the grocery segment.

Market data from research firm Consumer Edge illustrates the shift in consumer spending. Five years ago, Instacart held 26% of U.S. delivery platform spending. That share has since dropped to 18%, while DoorDash’s share rose from 44% to 59%. Uber Eats has maintained a stable position with just under 20% of the market. The consolidation brings together companies that collectively control the majority of dedicated delivery traffic.

Instacart, founded in 2012, operates in the U.S. and Canada with a workforce of 600,000 independent contractors who completed 338 million orders last year. The company is valued at $14 billion. DoorDash, founded in San Francisco in 2013, operates in 40 countries with 9 million independent delivery workers who handled more than 3 billion orders last year. DoorDash holds a market value of $73 billion.

The companies announced that the Instacart brand and application will remain active under the new ownership. Existing Instacart shoppers will continue to fulfill orders under that name, and grocers retain the option to work with either brand. Instacart customers will gain access to 50,000 additional stores currently covered by DoorDash’s network.

Questions remain regarding existing retailer partnerships. Instacart currently provides delivery services for Walmart, a relationship that ended for DoorDash in 2022 when the latter halted its Walmart delivery program. The merger will determine whether Walmart products return to the DoorDash app or remain exclusive to the Instacart platform.
